Agreement
These Terms of Service ("Terms") govern access to and use of the Academqo platform and related services ("Service") provided by Academqo, with registered office at de Winterstraat 30, 5703XW in Helmond, the Netherlands. Registered under KvK: 98051997, VAT: NL005306680B37 ("Academqo", "we", "us", or "our").
By creating an account, subscribing, or using the Service, the institution and its authorised users agree to these Terms. If you do not agree, do not use the Service.
Eligibility and accounts
The Service is intended for education institutions and their authorised staff, teachers, and students. You must provide accurate registration information and keep account credentials secure. You are responsible for activity under your account and for ensuring that users you invite comply with these Terms.
Subscription plans
Academqo is offered on a subscription basis with Starter, Growth, and Institution tiers. Plan features, limits, and pricing are described on our pricing page and may be updated from time to time. A 14-day trial may be available without payment upfront, subject to eligibility and plan selection at signup.
Billing and payment
Subscriptions are billed through Stripe. Currency is determined at signup based on your location and may be stored in a cookie for signup consistency. Invoices and payment receipts are issued by Stripe.
Unless stated otherwise, subscriptions renew automatically at the end of each billing period. You authorise us and Stripe to charge the applicable fees, taxes, and any metered or overage charges on a recurring basis until cancellation.
Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes, duties, or similar governmental assessments associated with your subscription, except taxes based on our net income.
Subscription lifecycle
Your subscription may follow these states: trialing, active, past_due, grace_period, suspended, and canceled. Payment failures trigger retries via Stripe. After retries are exhausted, certain admin actions may be restricted while students and teachers may retain access during past_due. A read-only grace period may follow before suspension.
We may suspend or restrict access if you breach these Terms, fail to pay amounts due, or if continued provision of the Service poses a security, legal, or operational risk.
Cancellation and termination
You may cancel at any time through the billing portal or by contacting support@academqo.com. Upon cancellation, access generally continues until the end of the current paid billing period unless we suspend earlier for cause.
Upon termination, institution data is soft-deleted and then purged or anonymised within 90 days, except where longer retention is required by law, for accounting records, security logs, or limited backup retention as described in our Privacy Policy.
Refunds
Fees are generally non-refundable except where required by applicable law or expressly stated at purchase. Contact support@academqo.com for billing disputes.
Acceptable use
You may not use the Service to:
- violate applicable law or third-party rights
- upload malware, unlawful content, or content that infringes intellectual property
- attempt to breach tenant isolation, probe platform security, or interfere with Service availability
- reverse engineer, scrape, or misuse the Service except as permitted by law
- resell or sublicense the Service without our written consent
We may investigate suspected violations and take appropriate action, including suspension or termination.
Institution content and data
As between the parties, you retain ownership of content and personal data you submit to the Service. You grant Academqo the rights necessary to host, process, transmit, and display that content solely to provide and improve the Service, comply with law, and enforce these Terms.
Where Academqo processes personal data on your behalf, our Data Processing Agreement applies and forms part of these Terms.
Intellectual property
Academqo and its licensors retain all rights in the Service, software, branding, and documentation. No rights are granted except as expressly stated in these Terms.
Support and availability
We aim to provide a reliable Service but do not guarantee uninterrupted or error-free operation. Planned maintenance, third-party outages, and events outside our reasonable control may affect availability. Support is provided on a commercially reasonable basis via support@academqo.com.
Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the maximum extent permitted by law, Academqo is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
Our aggregate liability arising out of or relating to the Service or these Terms is limited to the fees paid by you to Academqo in the twelve months preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law.
Governing law and disputes
These Terms are governed by the laws of the Netherlands, without regard to conflict-of-law rules. Courts in the Netherlands shall have exclusive jurisdiction, unless mandatory consumer or business protections in your jurisdiction require otherwise.
Changes
We may update these Terms from time to time. Material changes will be communicated through the Service or by email where appropriate. Continued use after the effective date constitutes acceptance of the updated Terms.
